JOB PURPOSE
The Manager, Governance and Board Affairs acts as QHC’s primary coordinator for board governance, committee administration and governance documentation, working, in coordination with the QIC General Secretariat Office. The, Director role ensures that Board, Board Committees, Medical Advisory Committee (MAC),and other senior leadership governance processes are well planned, properly documented, timely and aligned with applicable governance requirements.
The role establishes and maintains disciplined governance routines, including forward calendars, agendas, board packs, minutes, resolutions, decision logs, action trackers and escalation processes. It supports effective decision-making by ensuring that matters submitted for approval are complete, accurate, appropriately reviewed and supported by the required stakeholder inputs. The position works closely with the CEO / MD, executive leadership, QIC as shareholder, Legal, Compliance, Finance and other relevant functions to maintain clear governance interfaces, safeguard confidential information and promote consistent reporting to the Board and its committees.
KEY ACCOUNTABILITIES
1. Board & Committee Secretariat Coordination
- Coordinate, in collaboration with the QIC General Secretariat Office, the annual governance calendar, meeting schedules, agendas, board and committee papers and related follow-up for the Board and its committees.
- Prepare, circulate and safeguard board and committee packs, ensuring timely, high-quality materials for decision-making.
- Maintain accurate records of key decisions, decision logs and action trackers, ensuring actions are followed up and escalated where required.
- Proactively develop and maintain the annual plan for the QHC Board and subcommittees, including recurring agenda items, statutory requirements, key approvals and reporting milestones.
2. Governance Requirements & Coordination
- Support the development, maintenance and continuous improvement of governance frameworks, charters, policies, procedures and related documentation for the Board, subcommittees and QHC leadership governance.
- Coordinate governance-related approvals and documentation with relevant QHC functions.
- Support alignment across QHC functions on governance requirements, approvals and stakeholder inputs.
- Own the coordination, drafting, review cycle and version control of governance policies and procedures.
3. Decision Governance
- Maintain and routinely update updates QHC Delegation of Authority, decision-rights matrix and approval pathways for the Board and management decision-making.
- Coordinate governance requirements and approvals supporting the Board, subcommittees and leadership decision-making, ensuring clear ownership, decision status and follow-up actions.
- Ensure key decisions and approvals are appropriately documented, tracked and followed up, with escalation where required.
- Support leadership with governance requirements and stakeholder inputs relevant to key decisions.
4. Board Reporting
- Produce clear, concise and decision-ready Board, subcommittees and committee reports, including summaries of matters for noting, discussion, approval and escalation.
- Ensure decisions and approvals are properly recorded, communicated and followed up, with actions tracked and escalated where required.
- Maintain confidentiality and information-governance standards for board and sensitive material.
5. Shareholder & Stakeholder Governance Interface
- Coordinate shareholder, executive and functional inputs into QHC governance processes, ensuring submissions are complete, aligned and ready for the relevant governance forum.
- Act as a central point of coordination for governance matters between QHC, QIC, executive stakeholders and relevant assurance functions, while maintaining appropriate confidentiality and escalation protocols.
EXPERIENCE & ACADEMIC QUALIFICATIONS
Bachelor's degree in Law, Business Administration, Finance, or a related field is required. A professional governance qualification (e.g. ICSA / CGI Chartered Governance) and / or a Master's degree is preferred.
6+ years of progressive experience in corporate governance, board affairs or a closely related discipline, including direct experience supporting boards, committees and executive governance forums.
Demonstrated experience coordinating governance processes, preparing board and committee materials, maintaining decision and action logs, and supporting board-reporting processes, ideally within healthcare, government / semi-government or large corporate / ecosystem environments.
Strong drafting, documentation, discretion and stakeholder-management capability, with working knowledge of Saudi corporate-governance and regulatory expectations.
