The M&A Manager assists the M&A Director within the strategic assets team by leading M&A deal executions across various sectors in line with the strategy of the EIA.
Responsibilities and duties
Manage the execution of M&A transactions
• Work alongside the various industry / sector teams within strategic assets to formulate the investment thesis, and to conduct preliminary assessment (strategic, financial and legal) of a potential strategic opportunity to reach a “go/no-go” decision
• Build financial models and conduct financial and valuation analysis in relation to a specific M&A targets (including sensitivity and scenario analysis)
• Work alongside the sector teams to develop a framework for synergy assessment
• Prepare internal presentations / IC (Investment Committee)memos in relation to presenting specific opportunities and to seek investment approval
• Responsible for leading all aspects of M&A transaction execution, including liaising with internal risk, legaland finance
• Execute negotiation with target and its shareholders
• Provide reporting to CSAO(Chief Strategic Assets Officer) and Investment Committee members on transaction progress
• Liaise with sector team on sector specific transaction concerns
Engage and oversee the workstreams of various advisors appointed in relation to M&A transactions
• Lead & manage the commercial due diligence advisors to scrutinize business of target and sector
• Coordinate with banking advisors to oversee overall transaction execution, as well as be involved in transaction negotiations, transaction structuring, and valuation assessment (with sensitivities)
• Coordinate with financial advisors to oversee financial due diligence
Provide input to sector teams on deal pipeline and market opportunities.
• Build / maintain network of financial advisors / dealmakers / PE players / SWFs(Private Equity and Sovereign Wealth Funds)
• Inform sector teams of relevant potential upcoming deals that could be of interest to EIA Requirements
• Bachelors Degree (Finance, Business or Economics preferred)
• Masters degree in preferred. MBA from a top school is highly recommended
• Relevant professional certificates an advantage.
• 10 years’ experience in deal making experience either from Investment Banking M&A or Private Equity background
• Strong financial modelling and valuation skills
• Strong presentation skills – preparation of internal presentations, investment proposals
• Regional experience – Preference to have track-record of deal execution in the region, though strong international experience is sufficient
• Experience of and able to influence management teams and boards of directors and government / private sector stakeholders
• Has managed M&A transactions in the Middle East or internationally - Investment Banking M&A or Private Equity Sector specific expertise is not required,athough expertise within EIA’s current verticals viewed attractively (e.g., TMT, Technology, Media and telecommunications, energy & power, logistics and transportation, healthcare, education and financial services)
