Role : Senior Counsel
Location : ADIB HQ
Role Purpose:
Reporting to the Head of Retail and General Legal Services, the candidate’s duties and responsibilities shall include the following:
Key Accountabilities of the role
1. Develop, review, negotiate and amend all forms of IT contracts including without limitation Software Licence and Hardware Agreements, Professional Services Agreements, Maintenance Contracts, Re-Seller Agreements;
2. Negotiate and amend Lease Agreements, Real Estate Developer Agreements, Partnership Agreements, Loyalty Program Agreements, Services Agreements;
3. Draft and negotiate Confidentiality/Non-Disclosure Agreements, Memorandum of Understanding, Letters of Intent and Purchase Orders;
4. Research and revise all above mentioned forms of contracts and agreements to ensure compliance with new laws, regulations, standards and Shari’a compliant resolutions and fatawa;
5. Develop new terms and conditions of banking products and services;
6. Instruct, take a lead and work closely with external counsel, internal stakeholders and vendors on special projects from beginning to successful closure within budget allocation and agreed turnaround times; and
7. Assist and support team members on special tasks and projects; and
8. Provide legal consultation and advisory services to business in English and Arabic.
9. Advising on Corporate Finance and Investment Banking matters including reviewing, amending and negotiating syndication transaction documentation, security documentation, NDAs and credit support documentation.
10. Instructing external law firms, reviewing and negotiating engagement letters and legal opinions
Specialist Skills / Technical Knowledge Required for this role:
- Excellent drafting and negotiation skills in both English and Arabic;
- Good communication skills with an eye for details;
- Confident, self-driven and well-motivated individual;
- Excellent time management skills and ability to prioritise competing tasks;
- Capable of working unsupervised and independently as well as a team player; and
- Flexible and adaptable personality
