Job Title: Legal Counsel, Managing AssociateReporting to: General Counsel Department: Legal Job Purpose
Lead the execution of legal services to affiliates, ensuring that they meet business goals in a legally compliant manner, and act as custodian of specialized legal knowledge. Key Accountabilities
• Provide advice on contractual and legal matters within departmental work arrangements and assignments under the guidance of the General Counsel.
• Review, examine, and provide recommendations to ensure all legally binding instruments comply with the Kingdom’s and Maaden’s rules and regulations.
• Review internal company rules and regulations and provide legal advice as required.
• Provide legal advice on contractual, administrative, and related matters to all Maaden departments to protect Maaden’s legal rights and interests.
• Review contracts, purchase orders, and other legal documents to ensure compliance with the Kingdom’s and Maaden’s rules and regulations.
• Support legal dispute resolution activities, including review, preparation, advice, representation, reporting, and litigation support.
• Translate legal documentation between Arabic and English.
• Monitor, analyze, and advise on new and amended laws, regulations, regulatory policies, and enforcement trends affecting Maaden’s operations and assess their legal and business impact.
• Lead and coordinate Regulatory Impact Assessments (RIAs) for new and amended laws, regulations, and regulatory requirements, including identification of compliance obligations and implementation actions.
• Provide legal and regulatory advice on compliance matters, including securities regulations, labor laws, environmental regulations, competition laws, and other applicable regulatory frameworks.
• Liaise and coordinate with regulatory authorities, government entities, and external counsel on regulatory inquiries, investigations, inspections, and compliance matters.
• Support the development, implementation, and enhancement of compliance policies, procedures, controls, and monitoring programs to ensure ongoing regulatory compliance.
• Manage and oversee disputes, claims, arbitrations, mediations, and litigation matters involving Maaden and its subsidiaries.
• Prepare dispute reports, legal updates, case status summaries, and management briefings for senior management, committees, and the Board of Directors.
• Advise on contractual claims, variation orders, change orders, delays, breaches, terminations, liquidated damages, and other dispute-related contractual matters. Minimum Qualifications, Experience
• Bachelor’s or Master’s Degree in Law from a reputable university.
• 8+ years of experience in corporate legal work with reputable firms.
• At least 3 years of experience at a senior level. Skills
